By accessing or using the SOP Engine platform ("Service") provided by Taiso AI ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

SOP Engine is an AI-powered API platform that provides:

  • Standard Operating Procedure (SOP) management and execution
  • Structured data generation using AI models
  • Project and file management
  • API access for integration with your applications

3. Account Registration

To use the Service, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Be at least 18 years of age
  • Accept responsibility for all activities under your account

4. API Keys and Security

5. Acceptable Use

You agree NOT to:

  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Upload malicious code, viruses, or harmful content
  • Violate intellectual property rights
  • Use the Service to generate harmful, misleading, or inappropriate content
  • Reverse engineer or attempt to extract our models or algorithms
  • Resell or redistribute the Service without permission

6. Usage Limits and Billing

Service usage is subject to:

  • Rate limits specified in your plan
  • Usage-based billing for API calls
  • Monthly active user (MAU) limits
  • Storage and bandwidth quotas

We reserve the right to suspend accounts that exceed reasonable usage limits or engage in abuse.

7. Intellectual Property

7.1 Your Content

You retain ownership of content you submit to the Service. By using the Service, you grant us a license to:

  • Process your content to provide the Service
  • Store and backup your data
  • Use aggregated, anonymized data to improve our models

7.2 Our Platform

The Service, including all software, algorithms, and documentation, is owned by Taiso AI and protected by intellectual property laws. You may not copy, modify, or create derivative works.

7.3 Generated Content

You own the output generated by the Service using your inputs, subject to our Acceptable Use Policy. We do not claim ownership of AI-generated content.

8. Data and Privacy

Your use of the Service is subject to our Privacy Policy. We process your data as described in that policy. You are responsible for ensuring you have the right to submit any data to our Service.

9. Third-Party Services

The Service integrates with third-party AI models (OpenAI, Anthropic) and services. Your use of these integrated services is subject to their respective terms and conditions.

10. Disclaimers and Limitations

10.1 AI Accuracy

AI-generated content may contain errors, inaccuracies, or hallucinations. You are responsible for verifying the accuracy and appropriateness of generated content before use.

10.2 Service Availability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee uninterrupted or error-free service. Scheduled and unscheduled maintenance may occur.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

11. Indemnification

You agree to indemnify and hold harmless Taiso AI from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights.

12. Termination

We may suspend or terminate your account if:

  • You violate these Terms
  • Your account remains inactive for an extended period
  • Required by law or court order
  • To protect the security or integrity of the Service

You may terminate your account at any time by contacting us. Upon termination, your data may be deleted according to our retention policy.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by the laws of the State of California, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of California.
